贸易代表处设立需要的条件
第 07/2016/ND-CP 号议定规定外国贸易商必须满足以下条件才能获得设立代表处的许可证（许可证）：
– 允许外国商人根据参加国际条约的国家和地区的法律设立和注册他们的业务，越南是缔约方或这些国家和地区的法律承认的；
– 外商成立或注册经营至少01年；
- 如果外国商人的登记证或同等价值的文件内容中有经营期限规定，该期限必须为提交设立贸易代表处申请材料日起至少01年；
- 代表处的运营内容必须合法为越南在国际条约中签署的承诺；
- 若代表处的运营内容与越南的承诺不符，或外商不是与越南共同参加国际条约的国家和地区，必获得部长或部级专门机构负责人的批准。
代表处活动
代表处为其外伤履行联络处、市场调查以及促进投资机会职能，不包括设立代表处内容已规定在专门法律文件的服务领域。
代表处数量
一商在一省、直辖市内不得设立一个以上同名代表处。
许可期限
许可证的有效期为05（五）年，不得超过外商商业登记文件或同等价值法律文件的剩余期限，若该文件对有期限规定。因此，外商需在许可证前至少 30（三十）天提交更新许可证申请。
代表处活动报告
每年 1 月 30 日前，代表处有责任按照工贸部规定的格式，将上一年度的活动情况以邮寄方式送达发证机构。不定期报告将被处以 1000 万至 2000 万越南盾的行政罚款。
