－设立决定、商业登记证或组织的其他等效文件及授权书；股东为组织授权代表的公民身份证、人民身份证、护照或其他合法的个人身份证明；
－对于股东为外国组织，商业登记证或同等文件的副本必须经过领事认证；
－据《越南投资法》为外国投资者提供的投资登记证明。
执行方式
企业创办人或办理商业登记手续的授权人，应当按照越南商业登记门户网站的流程，以电子方式提交企业登记档案。
注册流程
在使用数字签名进行在线注册的场合：
第一步，法定代表人根据越南国家商业登记门户网站的流程，以电子方式申报信息、下载电子文件、对电子登记档案进行数字签名并支付费用。
第二步，提交注册申请后，法定代表人将收到商业登记卷宗的电子收据。
在使用商业登记帐户进行网上登记的场合：
第一步，法定代表人在全国商业登记门户网站申报信息，下载个人身份证明电子文件，获得商业登记账户。
第二步，法定代表人使用商业登记账号，按照全国商业登记信息门户的流程，通过电子网络进行信息申报、下载电子文件、工商登记资料认证。
第三步，完成注册档案提交后，企业创始人将收到商业注册档案的电子收据。
执行时间
三个工作日

在使用公共数字签名进行在线注册的场合：
– 如果申请符合企业登记证的条件，商业登记署将向税务机关发送信息，自动生成企业识别号码。 工商登记机关从税务机关收到企业识别号后，发给企业登记证，并通知企业核发企业登记证。
– 如果申请无效，商业登记署将向企业发送电子通知，要求修改和补充档案。
在使用商业登记帐户进行网上登记的场合：
– 商业登记署负责审查并向企业发送电子通知，要求在档案无效的情况下要求修改和补充档案。当档案符合颁发商业登记证的条件时，商业登记署应将资料送交税务机关，生成企业识别号码。商业登记署从税务机关收到企业识别号后，应以电子方式通知企业颁发商业登记证。
– 法定代表人收到企业登记证签发通知后，应连同企业登记档案收据和商业登记通知书，提交一套纸质商业登记文件，向商业登记署提交有效的网上申请法定代表人可以直接在商业登记署以电子方式或邮寄方式提交纸质商业登记申请和商业登记申请文件的收据。
– 商业登记署收到纸质申请后，将申请文件的表头与已电子发送的企业档案条目进行比对，如果内容不符，则向企业颁发商业登记证，并统一投影。
– 如果自发出商业登记证签发通知之日起 30 天后，商业登记处仍未收到纸质申请，则企业的电子登记卷宗不再有效。
